Requirements for Company Registration in Thailand (Updated: February 2025)

  • The Department of Business Development (DBD) has launched a new e-Registration system for all companies. As a result, the registration process may take approximately 5-7 working days due to the system’s approval steps.
  • The Bank of Thailand has announced that opening a corporate bank account will require a waiting period of 1 month from the incorporation date.

Remark

  • The scope is covering for:
    • Excludes preparation for Share Certificate, Share Registered Book and Social Security Fund Registration.
    • English translation for incorporation document when finish step of company registration. For registration form you can match with our English template form only.
    • Travelling cost in Bangkok. For registration outside Bangkok, you will be charged
      extra. The price is shown on the quotation.
    • In case of need for 100% foreign ownership the fee will propose case by case.
  • Other related services as below:
    • Baht 18,000 per year for “Registered Address” for Non-VAT registration company.
    • Local Thai director/ Local director service, require minimum of 6 months period. Service fee is case by case.
    • Baht 3,000 for preparation of document for opening company bank account but this corporate bank account can be used via “Internet Banking” by using ToKen Device.
    • Baht 10,000 for modification of Article of Association for classification of share to be preferred shares and common shares whereas Foreign can hold Preferred Shares in order to have majority voting right.
    • Baht 1,500 for share transfer agreement.

  • Timeline and Procedure
    • The Department of Business Development (DBD) has launched a new e-Registration system. As a result, the registration process may take approximately 5 to 7 working days due to the system’s approval steps.
    • Step 1 Company’s name reservation and prepared registration form. It’s better if can be done before you come to Thailand.
    • Step 2 Monday –  We input your company information to DBD e-Registration system and must be wait for approval for 2 – 3 days.
    • Step 3 Wednesday – You sign the Consent Letter for online system then Panwa will upload again.
    • Step 4 Friday – You can get the company.

  • Copy of ID card or Passport of every director(s).
  • Copy of ID card or Passport of every shareholder(s).
  • Copy of ID card or Passport of 2 witness(s).
